Service scope is defined in individual agreements, proposals, or communication with the client.
4. Service Agreements & Contracts
Before beginning any project or campaign:
A proposal or quotation may be shared.
Scope of work, deliverables, timelines, and pricing will be mutually agreed.
In some cases, a written contract or digital agreement may be required.
By making payment, the client automatically agrees to the stated terms.
Any modifications to the agreed scope may result in additional charges.
5. Payment Terms
Unless otherwise stated:
5.1 Payment Requirements
All payments must be made in advance unless a custom arrangement is approved.
Payment confirms the start of work.
Advertising budgets for Meta, Google Ads, etc. are separate from agency service fees.
5.2 Late Payments
Any delay in payments may pause or discontinue services.
Ongoing campaigns cannot run without timely payments.
5.3 Refunds
Payments for digital services, once started, are non-refundable.
Advertising results cannot be guaranteed; refunds are not issued based on campaign performance.
Customized services, consultations, and creative work are non-refundable.
A separate Refund Policy can be drafted if you want.
6. Client Responsibilities
The client agrees to:
Provide accurate and complete information
Give timely approvals and feedback
Provide necessary access (business manager, ad accounts, website admin, etc.)
Not share false, illegal, misleading, or copyrighted data
Ensure all submitted materials belong to them or have permission for use
Pay all fees on time
ClientsMagnet is not liable for delays caused by incomplete information or delayed approvals.
7. Intellectual Property Rights
7.1 Company Intellectual Property
All materials created by ClientsMagnet, including:
Creatives
Graphics
Designs
Websites
Strategies
Scripts
Ads
Videos
Text content
…remain the intellectual property of ClientsMagnet unless explicitly transferred.
Clients are granted a license to use the materials only after full payment.
7.2 Client Intellectual Property
Any assets provided by the client (logos, brand assets, photos, content, etc.) will remain the property of the client.
The client grants ClientsMagnet the right to use them for work execution.
8. Marketing Results & Performance Disclaimer
We do not guarantee specific results, including number of leads, sales, ROAS, or revenue.
Marketing performance depends on several external factors like market conditions, product quality, competition, pricing, and consumer behavior.
Estimated results or forecasts are not promises or guarantees.
ClientsMagnet is not responsible for loss of revenue or business.
9. Confidentiality
Both parties agree to:
Keep all business, financial, and marketing information confidential
Not share sensitive data with outsiders
Protect passwords, accounts, and confidential files
This obligation survives even after termination of services.
10. Third-Party Platforms
ClientsMagnet uses third-party platforms including:
Meta (Facebook/Instagram)
Google
Websites/Hosting providers
Payment gateways
Email tools
CRM tools
We are not responsible for:
Downtime
Technical issues
Policy updates
Ad account suspensions
Delays caused by third-party systems
All third-party tools follow their own terms and policies, which apply to the client as well.
11. Limitation of Liability
To the maximum extent permitted by law:
ClientsMagnet is not liable for:
Loss of profits
Loss of data
Ad rejections
Account bans on Meta/Google
Third-party system failures
Errors in client-provided data
Indirect, incidental, or consequential damages
Our liability for any claim is strictly limited to the amount the client has paid for the service.
12. Termination of Services
We reserve the right to suspend or terminate services if:
Payments are delayed
Client violates laws or policies
Misuse of accounts or platforms occurs
Abuse or disrespect towards staff takes place
Fraudulent or illegal activity is detected
Clients may also request termination anytime, but refunds are not provided for completed or ongoing work.
13. Governing Law
These Terms & Conditions are governed by:
Indian laws (if your agency is based in India)
Jurisdiction of your local courts
